MEMORANDUM OF PRODUCER COMPANY

(a) the name of the organization with "Maker Company Limited" as the final expressions of the name of such Company ;

 (b) the State wherein the enrolled office of the Producer Company is to arrange ;

 (c) the fundamental objects of the Producer Company will be at least one of the articles indicated in segment 581B ;

 (d) the names and addresses of the people who have bought in to the notice ;

 (e) the measure of offer capital with which the Producer Company is to be enrolled and division thereof into portions of a fixed sum ;

 (f) the names, locations and occupations of the supporters being makers, who will go about as the principal executives as per sub-area (2) of segment 581J ; (g)     that the risk of its individuals is constrained ;

 (h) inverse to the supporter's name the quantity of offers every endorser takes : Provided that no endorser will take short of what one offer ;

 (I) on the off chance that the objects of the Producer Company are not restricted to one State, the States to whose regions the items broaden. 

ANNUAL GENERAL MEETINGS 

 (I) the situation of the Producer Company ;

 (ii) the sum proposed to be conveyed to save ;

 (iii) the sum to be paid as restricted profit for share capital ;

 (iv) the sum proposed to be dispensed as support reward ;

 (v) the material changes and responsibilities, assuming any, influencing the monetary situation of the Online Company Registration in Coimbatore and its backup, which have happened in the     middle of the date of the yearly records of the Producer Company to which the accounting report relates and the date of the report of the Board ;

 (vi) some other matter of significance identifying with vitality preservation, ecological insurance, consumption or profit in remote trades ;

 (vii) some other issue which is required to be, or might be, indicated by the Board ;

 (e) the content of the draft goals for arrangement of reviewers ;

 (f) the content of any draft goals proposing correction to the notice or articles to be considered at the comprehensive gathering, alongside the proposals of the Board.

 (4) The Board of executives will, on the demand made recorded as a hard copy, properly marked and setting out the issues for the thought, made by 33% of the Members qualified for vote in any comprehensive gathering, continue to assemble a phenomenal general conference as per the arrangements contained in areas 169 to 186 of this Act.

 (5) Every yearly regular gathering will be called, for a period during business hours, on a day that is certainly not an open occasion and will be held at the enrolled office of the Producer Company or at some other spot inside the city, town or town in which the enlisted office of the Company is arrange.

 (6) A comprehensive gathering of the Online Company Registration in Coimbatore will be called by giving at least fourteen days earlier notification recorded as a hard copy.

 (7) The notification of the comprehensive gathering showing the date, time and spot of the gathering will be sent to each Member and inspector of the Producer Company.

 (8) Unless the articles of the Producer Company accommodate a bigger number, one-fourth of the all out number of individuals from the Producer Company will be the majority for its yearly comprehensive gathering.

 (9) The procedures of each yearly regular gathering alongside the Directors' Report, the reviewed monetary record and the benefit and misfortune account will be documented with the Registrar inside sixty days of the date on which the yearly comprehensive gathering is held, with a yearly return alongside the documenting charges as pertinent under the Act.
